TotalEnergies Renewables Australia Pty Ltd (TERA) is a subsidiary of TotalEnergies SE.  TERA has been active in Australia since 2017 and today owns and operates Victoria’s largest solar farm, Stage 1 of Kiamal Solar Farm (256 MWp), with a growing pipeline of 2.5 GW of onshore wind, solar and energy storage projects.

About the role

We are seeking a Senior Legal Counsel for TERA’s Melbourne office.  Reporting to the legal team leader and supported by Junior Legal Counsel, the [Senior] Legal Counsel (REN Australia) is responsible for providing legal services and managing legal risk and compliance for the full range of TERA’s renewables and business activities in Australia. 
 
Key responsibilities

  • Supports the [Legal team leader] in all legal and corporate secretarial functions across the development pipeline and all construction and operational renewables projects in Australia (as well as the TERA business more generally), working in close collaboration with all other business teams in TERA.
  • Analyses complex legal issues, mitigates legal risks and provides technically and commercially sound legal advice, including in connection with renewable energy project development, construction / procurement, project financing, M&A, joint development arrangements, operations and asset management, dispute resolution and corporate governance.
  • Drafts, reviews and leads negotiation on a wide range of agreements, large and small, related to TERA’s business activities, including NDAs, service agreements, terms sheets, joint development agreements, shareholders agreements, share purchase agreements, construction agreements, operations & maintenance agreements, offtake agreements, management agreements and finance agreements.
  • Provides legal advice to TERA’s Development Teams with land and planning related matters during the greenfield development phase (including with respect to FIRB) and supporting the Business Development Teams in bringing complex projects through to financial close.
  • Provides legal advice to the Technical and Project Delivery teams during the construction, commissioning and operations phases of TERA’s projects.
  • Provides technically and commercially sound legal advice to the TERA business to facilitate ongoing regulatory and contractual compliance. Identifying legal developments relevant to TERA and advising on potential opportunities and impacts.
  • Provides effective and efficient management of internal and external stakeholders, advisors and suppliers to achieve appropriate business outcomes, particularly in complex matters.
  • Assists the [Legal team leader] in managing all corporate governance of TERA and its subsidiaries.
  • Commits to safe working practices.

  • Self-motivation and ability to work independently.
  • Reasonable other duties related to the legal function for TERA, as requested.

 
Skills & Experience
 

  • Understanding and experience of the Australian electricity market, specifically as it pertains to renewable energy.
  • Provide legal advice that balances risk mitigation with commercially sound decision making and pragmatism.
  • Combine strategic thinking with superior attention to detail.
  • Thrive in a fast-paced environment and concurrently manage a portfolio of small and large matters.
  • Well-developed leadership skills with a commercial and problem-solving mindset.
  • Ability to work autonomously and collaboratively with multidisciplinary teams across the business.
  • Strong verbal and written communication skills.

Qualifications
 

  • A minimum 6 years PQE (Australian qualified at a well-recognised firm with strong renewable energy exposure or in an in-house team performing a similar role).
